  • Currency & Taxes: Quotes and billings are denominated in Indian Rupees (INR) or US Dollars (USD). Prices are exclusive of statutory duties (such as GST or local sales taxes), which are itemized separately.

4. Intellectual Property & 100% Code Ownership

NexSphere upholds clear, founder-first intellectual property protections:

• Complete Client Ownership: Upon settlement of invoice milestones, you hold 100% exclusive copyright and ownership over all custom code, architecture diagrams, configurations, and deliverables created specifically for your project.

5. Client Responsibilities & Acceptable Use

Clients agree to maintain the confidentiality of portal credentials, provide timely technical feedback, and ensure that all content, data, and third-party APIs provided do not infringe upon any third-party intellectual property or privacy rights.

You agree not to engage in unauthorized penetration testing, vulnerability exploitation, or DDoS activities against NexSphere infrastructure without prior written authorization.

6. Mutual Non-Disclosure & Confidentiality

Both parties agree that all trade secrets, architecture schemas, customer databases, technical scopes, and business models exchanged during consultations and project delivery remain strictly confidential and protected by mutual NDA obligations.

7. Limitation of Liability & Disclaimers

Services and consultations are provided with professional care and industry-standard diligence. To the fullest extent permitted by applicable law, NexSphere shall not be liable for any indirect, incidental, punitive, or consequential damages (including lost profits or business disruption).

8. Project Termination

Either party may terminate an active engagement with written notice as defined in the governing SOW (typically 14 to 30 days). In the event of termination, the client is responsible for compensation for all verified work completed through the termination date.
